Responsibilities
Responsibilities include overseeing all music business & legal affairs and all music clearance and music licensing matters during production.  This includes supporting our external production partners in their negotiation of music deals (eg, composer, artist and songwriter deals, music producer deals, music clearances and music licensing deals, worldwide public domain assessments, record company and music publishing waivers) in addition to handling certain music deals in-house (eg, negotiating commercial terms and structuring, negotiating and drafting agreements with composers, songwriters, artists, performers, producers, record companies and music publishers, negotiating soundtrack album deals, and clearing music and negotiating music license contracts).   

Requirements

  • The ideal candidate will have PQE (Post Qualified Experience) of 4 to 6 years preferably in the Media & Entertainment industry or from a law firm, which specializes in Media & Entertainment practice.
  • Experience providing in-house music support in a television, documentary or film production company and/or network is highly preferred
  • Experience in the music market for the production of  series, film or documentaries, including direct, hands-on experience in structuring, negotiating and drafting composer, performer and featured artist agreements, master use and synchronization license agreements, music producer agreements, songwriter agreements, record company and music publishing waiver agreements;
  • Thorough understanding of the music nuances in producing locally vs producing for global distribution
  • In-depth knowledge of music copyright and the series/film production process – from development, budgeting, pre-production, production and post production to  music clearance/licensing to composer engagement/recording through to delivery, cue sheets, marketing  and launch;
  • Practical knowledge of the music and entertainment industries in India, including the role of CMOs such as IPRS, and active relationships with music agents, lawyers,  managers, music publishers and record companies.

Junior Counsel, Advanz Pharma , Mumbai (PQE NA Years)

Key responsibilities (In Points):

  • Primarily assist reporting manager, Legal Counsels and support other members of the Advanz Pharma Legal Team in carrying out various activities such as:

                 Legal contracts – draft, review, negotiate and conclude basic contracts more  pertinent under  Indian laws such as service/ vendor agreements, IT (third party services) agreements, consultancy agreements, leave and license agreements, draft/respond to notices, power of attorney, etc.

                Legal contracts – prepare first level draft of agreements related to distribution, license & supply, manufacturing and supply, consultancy agreements and other industry related service agreements using Advanz Pharma templates for Global Business (ROW, Europe, SAM and ANZ) as per guidance from Legal Counsels/ Reporting Manager. Discuss with and advise internal clients, review and work with Legal Counsels/ Reporting Manager to respond to comments received from opposite party in relation to contracts exchanged, participate to negotiate and conclude such contracts with guidance from Legal Counsels/ Reporting Manager.

                Liaise with external Company Secretary and carry out administrative tasks related to company secretarial matters (such filing of timely annual returns, reviewing minutes of board meetings and ensure all critical matters get recorded under board meetings)

  • Corporate Compliance – adhere, imbibe and ensure all at Advanz Pharma are well trained and compliant with company’s compliance policies applicable to its business (example competition law, anti-bribery policy, policies related to regulatory affairs, data protection, etc.) and assist Compliance Officer in internal and external audits working towards retaining ISO certifications annually.
  • IP / Trademark (ROW) – advise internal clients on rights to sell products in particular territories, ownership of IP, etc.
  • Work with Legal Counsels/ Reporting Manager to Update Advanz Pharma agreement templates to record changing business policies and circumstances.
  • Assist in various projects undertaken by Advanz Pharma Legal team.
  • Assist BU’s – by promptly addressing their queries or issues faced by them.
